——园城股份(600766)非公开发行收购房地产公司股权:收购定价的合理性

    200759,烟台园城企业集团股份有限公司公告《向特定对象发行股票收购资产暨关联交易报告书(草案)》,其披露:

    本次定向增发拟置入的资产为园城集团持有的天创集团100%股权,该公司主营业务为房地产开发、销售业务。增发股份的价格按照第八届董事会第三次会议决议公告前流通股20个交易日均价3.37/股为基准,溢价10%3.70/股计算。 

[本次收购的合理性分析]

    (一)本次收购资产的定价合理性分析

    对于拟收购资产的定价,可参考市盈率法的估值结果与资产评估机构评估值

    1、以市盈率法测算拟收购资产的价值

    1)样本上市公司的市盈率

    选取样本上市公司的标准依次如下:

    ①样本公司规模相对大、业绩相对稳定;

    ②样本公司在不同城市均有分布,使样本公司具有较广泛的代表性;

    ③在当地具有较大影响力和知名度,品牌价值较高的房地产公司;

    ④样本公司在经营业务上与园城股份类似,使样本公司与园城股份具有可比性。

    按照上述标准,我们在国内主板上市的房地产公司中选择了10家公司作为样本。园城股份本次非公开发行拟收购资产评估审计基准日是2007331,所以在统计样本上市公司市盈率时,我们采用330日作为计算基准日(331日是周六)。统计这些房地产上市公司样本的市盈率,可以发现,在国内资本市场上,这些样本房地产公司的市盈率中值是30倍市盈率左右

    2)拟收购的资产业绩

    武汉众环会计师事务所有限责任公司对天创集团编制的2007年、2008年盈利预测进行了审核,并出具了众环专字(2007)440号《审核报告》。根据该经审核的预测,2007年,天创集团净利润为3,724.30万元

    3)按可比市盈率计算结果

    按照30倍市盈率计算,天创集团2007331日价值为: 0.3724×30=11.17亿元

    4)流动性折价分析

    在计算天创集团价值时,还应该考虑到由于锁定期带来的流动性折价。在考虑流动性折价时,我们借鉴上市公司非流通股转换为流通股折价时的折价率,我们选取10家股改企业进行折价率分析,经过计算,得到平均折价率为65.6%

    5)市盈率法测算拟收购资产的价值结果

    考虑到流动性折价这一因素后,天创集团企业的价值为11.17×0.656=7.33亿元

    2、资产评估机构评估拟收购资产的价值

    湖北众联资产评估有限公司出具的鄂众联评报字[2007]034号《资产评估报告书》对"天创集团"全部资产及相关负债在2007331日这一基准日所表现的资产投资价值进行评估,评估结果反映如下:

    天创集团纳入评估范围的资产及负债评估结果为:总资产账面值为47,861.46元,调整后账面值为47,861.46万元,评估值为60,148.42万元,增值额12,286.96万元,增值率为25.67%;负债账面值为33,015.92万元,调整后账面值为33,015.92万元,评估值为33,015.92万元;净资产账面值14,845.54万元,调整后账面值为14,845.54万元,评估值为27,132.50万元,增值额12,286.96万元,增值率为82.77%。湖北众联资产评估有限公司对天创集团整体净资产进行评估的评估值为27,132.5万元。

    另外,天创集团现持有的隆城投资45%股权以长期投资的清查调整值确定评估值为5,579.94万元,等于原帐面价值,增值率为零。

    2007年4月15日,园城集团与隆城投资自然人股东陈维涛签订了《股权转让协议》。根据协议约定,陈维涛拟将其持有的隆城投资6%股权转让给园城集团,隆城投资其他股东同意放弃优先购买权。

    园城集团承诺,待该部分股权按照法律、法规和规范性文件规定及上述《股权转让协议》的约定变更登记至园城集团名下后,园城集团立即将该部分股权无偿赠与给天创集团。园城集团将积极配合天创集团尽快办理与赠与该部分股权有关的所有必要手续,保证将该股权变更登记至天创集团名下。

    根据以上情况,在必要的法律程序履行完成后天创集团现持有的隆城投资45%的股权将增至51%,隆城投资将成为天创集团的控股子公司。目前湖北众联资产评估有限公司出具的鄂众联评报字[2007]034号《资产评估报告书》未考虑到这一因素的影响。若将这一因素考虑在内,天创集团100%股权的评估值将大于27,132.5万元。

    3、本次交易的合理性分析

    以天创集团100%股权价值,按照评估基准日平均市盈率30倍计算,天创集团的企业价值为11.17亿元;按流动性折价后计算,天创集团企业价值为7.33亿元;湖北众联资产评估有限公司对天创集团评估值,评估值为2.71亿元。

    园城股份向特定对象发行股票,收购天创集团100%的股权,天创公司股权作价2.59亿元,低于以市盈率法测算的价值7.33亿元,也低于湖北众联资产评估有限公司评估2.71亿元。

    在必要的法律程序履行完成后天创集团现持有的隆城投资45%的股权将增至51%,隆城投资将成为天创集团的控股子公司。若将这一因素考虑在内,天创集团100%股权的评估值将大于27,132.5万元。

    而本次交易双方协商确定的价格是2.59亿元,所以,本次交易有利于园城股份的发展,惠及园城股份的中小投资者。

    (二)本次股票发行价格合理性分析

    1、本次非公开发行的价格确定符合中国证监会的有关规定

    根据《上市公司证券发行管理办法》第三十八条,上市公司非公开发行股票,发行价格不低于定价基准日前二十个交易日公司股票均价的百分之九十。

    《上市公司证券发行管理办法》对定价基准日没有做出明确规定,实际操作中普遍采用董事会召开日或董事会决议公告日作为定价基准日。这是因为董事会公告日之前的股票均价反应的是市场对公告公布以前公司价值的合理预期和判断。在董事会公告以后,市场会对董事会公告内容做出反应并重新进行预期和判断,如果董事会公告内容是非公开发行股票收购资产,那么股票价格将体现市场对新收购资产以后公司盈利能力的全新预期。所以实际操作中普遍以董事会召开日或董事会决议公告日作为定价基准日,并以定价基准日前二十个交易日公司股票均价作为发行价格。

    园城股份本次非公开发行以公司董事会决议公告日,即2007115日作为定价基准日,以不低于公告日前流通股20个交易日均价(收盘价)3.37/股溢价10%,即3.7/股作为发行价格,符合中国证监会的有关规定。

    2、本次非公开发行董事会公告前的股价分析

    1以市盈率法测算园城股份非公开发行董事会公告前股价

    第一是采用的市盈率的确定(我们采用行业比较法):

    选取样本上市公司的标准依次如下:

    ①样本公司规模相对大、业绩相对稳定;

    ②样本公司在不同城市均有分布,使样本公司具有较广泛的代表性;

    ③在当地具有较大影响力和知名度,品牌价值较高的房地产公司;

    ④样本公司在经营业务上与园城股份类似,使样本公司与园城股份具有可比性。

    按照上述标准,我们在国内主板上市的房地产公司中选择了10家公司作为样本(见表4)。

    园城股份本次非公开发行拟收购资产董事会决议日是2007115日,所以在统计样本上市公司市盈率时,我们也采用2007115日作为计算基准日(收盘价)。统计这些房地产上市公司样本的市盈率,可以发现,在国内资本市场上,这些样本房地产公司的市盈率中值是23.69倍左右(见表4)。我们取行业平均市盈率23.69倍作为计算园城股份非公开发行股票股价的市盈率。

    第二是每股收益的确定:我们取园城股份20061231日每股收益0.15作为计算其股东大会决议日转让价格的依据。

    根据上述数据,我们计算得到园城股份非公开定向发行股票,发行价格为:

    第一,房地产上市公司市净率

    在计算市净率时,我们根据净资产规模再次选择10家房地产上市公司样本,统计其市净率,可以发现,在国内资本市场上,这些样本房地产公司的市净率是3.24倍左右(见表5)。

    第二,每股净资产的确定。以园城股份20061231日每股净资产0.58元,作为园城股份股价的测算依据。

    第三,股票价格的确定。以样本平均市净率3.24倍测算,园城股份的股票价格预计在1.88元左右。

    市价=3.24×0.58=1.88

    3)园城股份本次非公开发行董事会公告前二级市场股价

    近两年随着股票市场的价值回归,绝大部分上市公司的股价逐渐回归至其真实价值线附近。园城股份的股价也较真实地反映了公司的真实价值,其股价在1.79/-4.00/股之间波动,2006年年初至2007115日园城股份的股价走势说明了这一点(见图1)。

    1 公告前股价区间反映其价值

    1反映了2006124日至园城股份非公开发行董事会公告(2007115日)前的股价走势。

    从图1可以看出,园城股份的二级市场股价在2006124日以后的近一年的时间里股价走势,2007115日达到股价最高点,收盘价是4元,2006124日股价最低点,收盘价是1.75元,在大多数时间里,股价基本在这个价格区间内进行波动。股价的变化基本反映出园城股份理论价格的估计。

    3园城股份非公开发行董事会公告后至非公开发行材料披露日的股价走势及其原因分析

    1)非公开发行董事会公告后至非公开发行材料披露日的股价走势

    2007年1月12日,园城股份大股东园城集团拟以协议方式增持园城股份股权,并披露了持股变动报告书。2007年1月15日,园城股份董事会发布公告,计划向大股东园城集团实施定向增发。该公告发布后,园城股份的股价开始一路上扬,园城股份增发公告前后股价走势对比如图2所示。

    2)园城股份非公开发行董事会公告后至非公开发行材料披露日的股价走势原因分析

    园城股份本次非公开发行股票定价以董事会公告日前流通股20个交易日(即20061213日至2007115日)为基础溢价10%,经计算为3.70/股。2007115日园城股份本次非公开发行董事会公告后股价迅速上涨,2007419日,园城股份股价已涨至14.57/股。园城股份2007115日发布非定向增发后,股价在4/股至14.57/股之间窄幅波动,说明市场对园城股份本次非公开发行后盈利能力的价值判断基本稳定。

    这一期间引致园城股份股价变动的因素,一是大盘的持续上涨:从2007115日至2007419日,上证指数从2794.7点上涨到3449.02点,涨幅约为23.4%。也就是说,即使没有园城股份自身特殊因素的影响,园城股份股价自2007115日至419日存在上涨23%的可能性;二是股权分置改革除权的影响:园城股份的股东园城实业集团以经营性资产烟台新世界100%的股权注入本公司的方式,向全体流通股股东做出对价安排。上述资产注入完成后,园城股份股份总数维持不变,净资产增加193,806,366.87元,每股净资产将增加1.132元。通过上述对价安排,流通股股东按持股比例将获得园城集团支付的68,181,079.86元净资产,每10股获得11.32元净资产。这样就给投资者传递一种园城股份将改变经营策略的信息。使得股票价格得以快速上涨。同时园城股份非公开发行以后的价值得到了提前反映。

    在前面因素的影响下,理论上园城股份的股价在20071153.7/股附近或以下区间,但自2007115日,园城股份董事会发布非公开发行公告至2007419日,股价却涨至每股14.57/股,究其原因,主要是非公开发行对园城股份股价的影响。

    2006-2008年,园城股份在本次非公开发行完成以后,按照园城股份非公开发行以后的总股本24,116万股测算,2007-2008年园城股份三年平均每股收益不低于0.53元(见表3),以24倍(见表4)市盈率测算,园城股份的股价将是12.6元。所以,目前园城股份的股价是其非公开发行完成以后的价值反映如果向园城集团非公开发行的方案不实施或未能实施,上述业绩预期则不能在园城股份的发展中体现,以园城股份现有资产状况及发展规模,经营业绩是难以支撑目前的股票价格,从而必将导致园城股份的股价下跌,回归至其真实价值附近,即本次非公开发行公告前的价值区间(1.7-4元)。

    综上所述,本次非公开发行定价为3.7/股是合理的。

[同业竞争]
    
(一)本次交易前同业竞争状况 
    1
房地产行业同业竞争的主要特征 
    
房地产项目在同业竞争方面具有与其他商品不同的较强的行业特征,具体如下: 
    
1)由于房地产的用途可以大致分为住宅、商业营业用房、办公楼及工业厂房等类型,在同一地域内不同用途的房地产类型不构成竞争关系; 
    
2)由于房地产具有不可移动等特性,购买客户主要为当地的消费者。因此,房地产项目具有明显的地域性,不同城市的房地产项目一般不存在竞争关系; 
    
3)由于消费层次的不同,房地产产品面对的客户群体明显不同,同一地域内类型相同但消费定位明显不同的房地产产品一般不存在实质性同业竞争关系。

、园城股份从事的业务情况 
    
公司的主营业务为房地产开发与销售,具体为住宅类房地产业务。目前,园城股份经营的主要项目为新世界二期项目、新世界三期项目、一里洋房项目以及控股子公司汇龙湾的项目。

、园城股份与园城集团同业竞争情况 
    
1)烟台地区 
    
在烟台地区,本公司控股股东园城集团的子公司除了本公司之外,还包括山东天创集团有限公司。山东天创集团有限公司主要经营范围包括房地产开发、销售(凭核定的资质施工);塑钢门窗、铝合金门窗(不含国家专项审批)加工、销售、安装;批发、零售建筑材料、装潢材料、钢材、五金交电、金属材料(不含贵重金属)等,其房产项目有天创国际城一期、天创国际城二期、隆城投资项目、名人大酒店,与园城股份存在同业竞争关系。 
    
2)烟台以外的地区 
    
在烟台以外的地区,在目前本公司控股股东旗下仍有多家公司在从事房地产业务,存在同业竞争的可能性。 
    
(二)同业竞争解决措施 
    1
.在烟台地区 
    
通过本次收购,本公司将取得了山东天创集团有限公司100%股权,即本次收购完成后,在烟台地区,本公司和大股东园城集团之间将不存在同业竞争的情况。 
    2
.在烟台以外的地区 
    
大股东园城集团已于20061129日出具了《避免同业竞争承诺函》,承诺在烟台地区以外,园城集团及其实际控制人除完成目前正在开发的房地产项目外,不再购买新的土地使用权用于进行新的房地产项目开发,集团的主营业务将向其他方面转型20091231日前,园城集团将清理所有房地产开发项目,将还未完成的房地产项目转让与园城股份或者其他第三方201011日后,园城集团及其持有的所有者权益达50%以上的子公司(附属公司)将不以任何方式(包括但不限于自营、合资或联营)参与或进行与园城股份拟定经营范围内的业务存在直接或间接竞争的任何业务活动。凡园城集团及附属公司有任何商业机会可从事、参与或入股任何可能会与园城股份生产经营构成竞争的业务,园城集团会将上述商业机会让予园城股份。 
    
若上述承诺得以履行,园城集团与园城股份之间不仅在烟台地区,在烟台以外地区存在的同业竞争也将逐步消失。 
    
(三)法律顾问及独立财务顾问对同业竞争发表的意见 
    
法律顾问认为: 
    
1)园城集团出具的相关承诺函合法有效。 
    
2)本次交易后,园城集团与园城股份之间在烟台区域将不存在实质性的同业竞争。 
    
3)如果上述《关于解决和避免同业竞争的承诺函》能够得到有效履行,园城集团与园城股份之间在烟台以外地区存在的同业竞争问题也将得到有效解决。 
    
独立财务顾问认为,本次收购前,园城集团及其控股子公司与园城股份之间在烟台地区以及烟台以外地区存在同业竞争关系;本次收购后,烟台地区的同业竞争关系得以消除。而根据大股东园城集团于20061129日出具的《避免同业竞争承诺函》,最晚至201011日,园城股份与大股东园城集团在烟台以外地区的同业竞争也将全部消除。 


——S*ST华侨(600759)重大资产重组:重组方接收全部资产及负债

2007510,海南华侨投资股份有限公司公告《重大资产出售暨以新增股份购买资产报告书摘要(草案)》

[重大资产出售暨重大债务重组]

    2007年4月20日,本公司与北方发展签署《重大资产出售暨重大债务重组协议》,本公司拟向北方发展出售现有全部资产并由北方发展承接或代偿现有全部债务。

   (1)截止20061231日,本公司资产总额(含子公司股权)为15,415,030.67元,福建中兴资产评估房地产土地估价有限责任公司出具的评估报告确定的评估值为24,995,003.55元,北方发展与本公司协商一致将按照评估值向本公司购买。本公司资产在评估基准日至资产实际交割日期间发生的全部损益和变化由北方发展享有或承担。

   2)截止《重大资产出售暨重大债务重组协议》成立之日,本公司尚欠北方发展66,869,876.88元,北方发展应付的该等资产转让款24,995,003.55元与其对本公司的债权66,869,876.88元冲抵后余额为41,874,873.33元,北方发展承诺豁免本公司该等债务。北方发展承接或代偿本公司经福建华兴有限责任会计师事务所闽华兴所审计确认的公司20061231日的全部负债98,450,335.83元(含或有负债),该等负债在审计基准日至资产负债实际交割日期间发生的全部损益和变化由北方发展享有或承担。

   3)北方发展负责安置或接收截至重大资产出售暨重大债务重组协议书生效日的公司所有员工。

   4)广西正和为北方发展履行《重大资产出售暨重大债务重组协议》约定的义务提供连带责任保证。

    本次拟出售的资产为本公司全部资产,根据《通知》 的规定,本次重大资产出售行为尚需获得本公司股东大会以特别决议审议通过,并经中国证监会核准。

[重大资产购买]

    2007年4月20日,本公司与广西正和签署《重大资产购买协议》,本公司拟向广西正和以每股1.92元发行7.3亿股新股折合人民币14.016亿元,购买广西正和合法拥有的座落于广西柳州市飞鹅二路1号谷埠街"谷埠街国际商城"建筑面积为140,166.17平方米的商业房产。购买价格以闽中兴评字(2007)第3046号《资产评估报告》确定的基准日(20061231日)评估价值人民币1,451,620,295.27元为参考,按评估房产的租赁情况确定。其中已出租房产的评估值为人民币1,205,584,894.07元,按该评估值的全额计算转让价格为人民币1,205,584,894.07元;未出租房产的评估值为人民币246,035,401.20元,按该评估值的80%计算转让价格为人民币196,828,320.96元,合计转让价格为人民币1,402,413,215.03元。广西正和同意公司免予支付前述交易的差额813,215.03元。

    拟购买的资产评估基准日为20061231日,本次拟购入资产的评估值为1,451,620,295.27元,占本公司2006年度经审计总资产268,764,905.78元的540.11%,根据《通知》和上交所的有关规定,本次交易构成重大资产重组,须经中国证监会核准并经本公司股东大会以特别决议审议通过后方可实施。

    本次交易完成后,广西正和将成为公司的控股股东。广西正和承诺自获得琼华侨新增股份之日起36个月内不转让且不上市交易其持有的琼华侨全部股份。

    广西正和承诺,1)如果2007年内完成本次资产重组,广西正和保证琼华侨2007年下半年的净资产收益率不低于3.5%2008年、2009年净资产年收益率分别不低于8%9%;(2)如果2008年内完成本次资产重组,广西正和保证琼华侨2008年、2009年、2010年净资产年收益率分别不低于8%9%10%;(3)若琼华侨未能达到上述利润水平,广西正和将于琼华侨当年年度报告披露后两个月内以现金补足利润差额

[本次交易完成后的同业竞争情况]

    本次交易完成后,本公司将购入广西正和的商业房产,主营业务将转变为商业房产的投资、租赁以及商业房产的运营、管理服务。本公司的控股股东将变更为广西正和。

    (一)广西正和与上市公司的同业竞争情况

    基于广西正和将140,166.17平方米商业房产注入上市公司后,广西正和尚有部分住宅及商业房产。住宅与商业房产消费对象不同、使用属性不同,不构成实质性同业竞争;广西正和因房产处于抵押状态而未注入上市公司的部分商业房产将与上市公司构成潜在同业竞争。

    消除同业竞争的措施:

    为解决上述潜在同业竞争问题,广西正和做出了如下承诺:

    1)在2009630日前,除非征得琼华侨书面同意,广西正和不得将其所拥有的谷埠街国际商城中未在本次重大资产重组中置入琼华侨的其他商业房产出售或部分出售予任何第三方。同时,琼华侨有权在该期间内按评估价格的80%向其购买该商业房产

    2)在上述期间内,该等商业房产的经营管理权委托琼华侨行使,因经营、管理该等商业房产而产生的收益均归琼华侨所有,相关的税收和费用亦由琼华侨承担。广西正和在获得琼华侨书面同意后将该等商业房产部分或全部售予第三方,广西正和将按房屋销售总价款的3%向琼华侨支付该部分房产的管理费;

    3)在200971日后,在广西正和仍为琼华侨的控股股东期间,该等商业房产的经营管理权仍委托琼华侨行使。若广西正和需将该商业房产予以出售,必须委托琼华侨寻找确定购买方,并由琼华侨具体负责相关事宜。在此期间,广西正和按以下标准向琼华侨支付管理费

    A、出售部分的商业房产的管理费,为销售总价款的3%

    B、出租部分的商业房产的管理费,按照届时的市场公允价格由双方协商确定。

    (二)广西正和控股子公司与上市公司的同业竞争情况

    广西正和现控股柳州市利嘉物业管理有限责任公司、柳州市利嘉房地产经纪有限公司、云南正林房地产开发有限公司三家公司。

    广西正和控股子公司中的柳州市利嘉物业管理有限责任公司的主营业务为物业管理,柳州市利嘉房地产经纪有限公司的主营业务为房地产信息咨询服务、交易服务、营销策划、企业管理咨询及策划营销策划,与琼华侨完成本次重大资产重组后的主营业务不存在同业竞争问题;云南正林房地产开发有限公司目前尚处于项目可研和取得土地阶段,与琼华侨并未构成实质性同业竞争,云南正林房地产开发有限公司营业执照所注明的经营范围是房地产开发、房地产销售、出租,房屋租赁,因而与琼华侨完成本次重大资产重组后的经营范围存在潜在的同业竞争可能性。

    消除同业竞争的措施:

    对于上述可能的潜在同业竞争,云南正林房地产开发有限公司已出具承诺函,承诺:"本公司将不会直接或间接从事与琼华侨公司相同和/或类似业务,也不会参与任何可能与琼华侨公司所从事业务构成竞争的业务。本公司若有任何商业机会可从事、参与任何可能与琼华侨公司所从事的业务构成竞争的业务,本公司应将上述商业机会让与琼华侨公司。如违反以上承诺导致琼华侨公司遭受损失,本公司应予以赔偿。"

 

    本方案实质是重组方以零价格接收上市公司全部资产和负债,并同时以置入资产方式获得上市公司股权。但出于会计及税务考虑,将其处理为重大资产收售及债务重组。
